Our Client

FMO and Phoenix InfraWorks have launched Climate Investor One (CIO), a fund that offers a complete financing solution, from development through to operations, for renewable energy assets in emerging markets. This fund will be managed by Climate Fund Managers (CFM), a leading boutique fund manager dedicated to securing a sustainable future through impactful investing. CFM’s vision is to structure cutting edge financing facilities around core areas of climate change mitigation, including: Energy, Water, Landscapes, Oceans and Sustainable Cities.

The fund is jointly owned by the Development Bank of the Netherlands (FMO) and South African infrastructure investment business, Phoenix InfraWorks.

The Role

Climate Fund Managers are now looking to hire a Senior Projects Manager who will be part of the Transaction team and is co responsible for growing CFM across the region. The role will be based in Nairobi, from where CFM will operate across Africa. Reporting directly to the Director Africa, the Senior Projects Manager will play an important role in (i) supporting the transaction team in the approval process, (ii) providing technical guidance to CIO’s partners during the development, construction and operational stage of the projects it invests in and (iii) ensure implementation of best practices across the fund’s portfolio.

Responsibilities

Key responsibilities include:

Origination and approval phase

  • Interrogate, analyze and form a view on project viability from a resource, technical, regulatory, land securitization, development and construction point of view when new project opportunities are originated by the Transaction Team members. Support the E&S manager in all E&S related actives.
  • Advice, guide and assist the Transaction Team in their assessments of new opportunities by providing above input on the deals.
  • Lead and execute site visits, meet with local stakeholders and relevant parties to further assess and form a view on the opportunities. Manage, provide guidance and assistance to the various team experts during site visits. Draft reports on these missions.
  • Execute and perform detailed gap analyses on Lead Developer competencies, DEVEX budgets, resource assessments, capex assumptions, timelines and programmes, development history and required work streams to complete the process and make recommendations to the Investment Heads.
  • Provide data, information, analysis and recommendations to the Transaction Team in the preparation of approval papers for the various Investment Committees.
  • Attend Investment Committee meetings as an expert witness and provide assistance to the Deal Principals defending the Investment Recommendations as required or where appropriate.

Development Implementation Phase

  • Proactively assist or manage the various Development Teams on multiple projects in their respective jurisdictions as per the agreed Roles and Responsibilities as defined in the Joint Development Agreements with the project Sponsors/Lead Developers.
  • Proactively assist, provide guidance and leadership [as required] to the Lead Developer/SPV Project Manager on all matters regarding the efficient and successful execution of the development work streams and specifically on:
    • SPV staffing and competencies
    • External advisor inputs and requirements
    • DEVEX budgets
    • Development programme and milestones
    • Reporting protocols to Management Committee of the shareholders
    • Compliance with CIO policies and protocols
    • Risk Identification, management and mitigation strategies
  • Support or lead commercial, technical, financial, legal and contractual work streams as agreed between CIO and the Lead Developer and where appropriate with the support of CIO staff, advisers and partners.
  • Together with E&S manager, proactively and assertively ensure that E&S protocols and procedures are drafted, finalized and correctly implemented and ensure that all project aspects comply with the CIO ESMS [Environmental & Social Management Systems].
  • Together with the SPV staff and E&S specialists, monitor and ensure implementation of all relevant stakeholder engagement, grievance protocols, and local community interfaces etc to ensure that all IFC Performance standards are abided by, and that social risks are managed, mitigated and properly dealt with.
  • Escalate any and all serious E&S risks, issues or events to the CTO and CIO executive immediately with recommendations and strategies to contain any event before loss of control occurs.
  • Proactively assist or manage and ensure correct bid preparation, tender and evaluation processes are followed by the SPV teams for EPC contractor[s], OEM[s] and O&M provider[s] as agreed between CIO and the Lead Developer.
  • Assist as appropriate or as required, with the contract negotiations for EPC, OEM and O&M.
  • Assist as appropriate or as required, with the contract negotiations for the PPA, Implementation Agreements, Shareholder Agreements, Shareholder Loan Agreements, etc.
  • Support the Chief Technical officer in developing, maintaining and updating CIO templates for (i) reporting and monitoring and (ii) governance of projects.
  • Provide regular reports on project status and Key Performance Indicators {KPI’s] to CIO Chief Technical Officer.
  • Provide data, information and updates on the various projects as appropriate to the CIO team dealing with Investor Relations and Reporting.
  • Effectively assist the Project SPV PM and team to deal with crises and issues that arise and need immediate attention.
  • Take seats on the Management Committee or attend, input and contribute to Management Committee meetings upon request and as prescribed in the JDA, Implementation Agreement or Shareholders Agreement and as required.
  • Assist, guide and provide leadership to the various project SPV’s and teams to bring the projects to Financial Close.

Construction Phase

  • Proactively assist or manage the various Construction Management Teams across multiple construction projects in various jurisdictions as per the agreed Roles and Responsibilities between the shareholders.
  • Proactively assist, provide guidance and leadership [as required] to the Construction Management team/SPV Executives and the Owners Engineers on all matters regarding the efficient and successful execution of the Construction Process and specifically on:
    • SPV staffing and competencies
    • External advisor inputs and requirements
    • CAPEX budgets, claims and disputes arising from the construction
    • Construction programme and milestones
    • Reporting protocols to Steerco’s of the shareholders
    • Compliance with CIO policies and protocols
    • Risk Identification, management and mitigation strategies
  • Monitor compliance on all the commercial, technical, financial, legal contracts by assisting, guiding and supervising the Construction Management team and the Owners Engineers as agreed between CIO and the other Equity Partners.
  • Ensure that the SPV staff and E&S specialists monitor and ensure the implementation of all SPV, CIO or Contractor E&S plans.
  • Ensure that the SPV staff and E&S specialists continue monitoring all relevant stakeholder engagement, grievance protocols, local community interfaces etc to ensure that all IFC Performance standards are abided by and that social risks are managed, mitigated and properly dealt with.
  • Together with E&S manager, proactively escalate any and all serious E&S risks, issues or events to the CTO and CIO executive immediately with recommendations and strategies to contain any event before loss of control occurs.
  • Proactively assist or manage SPV staff, Construction Manager and Owners Engineer to ensure performance and compliance of the EPC contracts and all other contracts during the Construction Phase.
  • Where appropriate assist, lead or manage contract disputes, claims and liabilities escalating matters to the CIO Executive via the CTO when these are serious or substantial.
  • Monitor and manage the teams that ensure that all contractual obligations are complied with for non-construction contracts including the PPA, Implementation Agreements, Shareholder Agreements, Shareholder Loan Agreements, etc.
  • Support the Chief Technical officer in developing, maintaining and updating CIO templates for (i) reporting and monitoring and (ii) governance of projects.
  • Provide regular reports on project status and Key Performance Indicators {KPI’s] to CIO Chief Technical Officer.
  • Provide data, information and updates on the various projects as appropriate to the CIO team dealing with Investor Relations and Reporting.
  • Effectively assist the Project SPV PM and team to deal with crises and issues that arise and need immediate attention.

Operational Phase

  • Provide Operational Overview Management across multiple operational projects in various jurisdictions as per the agreed Roles and Responsibilities between the shareholders.
  • Proactively assist, provide guidance and leadership [as required] to the SPV Executive staff and the Asset Managers on all technical matters regarding the efficient and successful operation of the Asset.
  • Provide historical perspective to issues, utilizing the historical project knowledge emanating out of the development and construction phases.
  • Proactively assist, provide guidance and leadership [as required] to the SPV Executive staff and the Asset Managers specifically on:
    • SPV staffing and competencies
    • OPEX budgets
    • Compliance with CIO policies and protocols
    • Risk Identification, management and mitigation strategies
  • Monitor compliance on all the commercial, technical, financial and legal contracts by assisting, guiding and supervising the Asset Manager as agreed between CIO and the other Equity Partners.
  • Ensure that the SPV staff and E&S specialists monitor and ensure the implementation of all SPV and CIO E&S plans.
  • Ensure that the SPV staff and E&S specialists continue monitoring all relevant stakeholder engagement, grievance protocols, and local community interfaces etc to ensure that all IFC Performance standards are abided by and that social risks are managed, mitigated and properly dealt with.
  • Support the Chief Technical officer in developing, maintaining and updating CIO templates    for (i) reporting and monitoring and (ii) governance of projects.
  • Provide regular reports on project status and Key Performance Indicators {KPI’s] to CIO Chief Technical Officer.
  • Provide data, information and updates on the various projects as appropriate to the CIO team dealing with Investor Relations and Reporting.
  • Assist, provide data and cooperation to the CIO Refinance Teams as required.

Qualifications

  • 5-7 years’ post-graduation experience, preferably in project management, early stage energy/ infrastructure development or construction management. Exposure to project finance and/or private equity is a benefit.
  • Civil, Mechanical or Electrical Engineering degree.
  • Knowledge of the project development and construction process.
  • Demonstrably commercially astute.
  • Resourceful and pro-active – self starter.
  • Fluency in English, written and verbal is essential; French is a plus.
  • Willingness to travel in the region.
